1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Bauto Limited ("we", "us", or "our"), concerning your access to and use of the bAuto.im website and platform.

By accessing the platform, you agree that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree, you are expressly prohibited from using the platform.

2. Dual-Marketplace Structure

bAuto operates as a dual-marketplace facilitating vehicle transactions:

  • Private to Trader (P2T): Private individuals listing their personal vehicles for auction to our network of verified Motor Traders.
  • Trader to Trader (T2T): Verified Motor Traders selling wholesale stock to other verified Motor Traders.

3. Private Sellers (P2T)

If you are listing a vehicle as a Private Seller:

  • You guarantee that you are the legal owner of the vehicle and have the right to sell it.
  • You must disclose all known faults, damage, and accurate mileage. AI damage appraisal tools are provided as a guide but do not waive your responsibility to be truthful.
  • When an auction concludes, if the reserve price is met, you are entering into a binding agreement to sell the vehicle to the winning Motor Trader.
  • A success fee is deducted securely via Stripe upon the completion of a successful auction.

4. Motor Traders (Buyers & T2T Sellers)

If you are registered as a Motor Trader:

  • You must provide valid business registration and identity verification to access the platform. Bauto Limited reserves the right to suspend accounts that fail compliance checks.
  • Bidding is Binding: When you place a bid on a vehicle, you are making a legally binding offer to purchase that vehicle at that price.
  • Subscriptions: Trader access requires an active monthly subscription, billed securely via Stripe.
  • As a T2T seller, you must accurately describe wholesale stock. Misrepresentation may result in account suspension.

5. Liability and Disclaimers

Bauto Limited acts solely as a facilitator and platform provider. We are not a party to the actual sales contract between buyers and sellers.

  • We do not guarantee the condition of any vehicle listed on the platform.
  • We are not liable for any losses, damages, or disputes arising directly between buyers and sellers.
  • The platform is provided on an "AS-IS" and "AS-AVAILABLE" basis.

6. Governing Law

These Terms shall be governed by and defined following the laws of the Isle of Man. Bauto Limited and yourself irrevocably consent that the courts of the Isle of Man shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
