1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Bauto Limited ("we", "us", or "our"), concerning your access to and use of the bAuto.im website and platform.

By accessing the platform, you agree that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree, you are expressly prohibited from using the platform.

2. Dual-Marketplace Structure

bAuto operates as a dual-marketplace facilitating vehicle transactions:

  • Private to Trader (P2T): Private individuals listing their personal vehicles for auction to our network of verified Motor Traders.
  • Trader to Trader (T2T): Verified Motor Traders selling wholesale stock to other verified Motor Traders.

3. Private Sellers (P2T)

If you are listing a vehicle as a Private Seller:

  • You guarantee that you are the legal owner of the vehicle and have the right to sell it.
  • You must disclose all known faults, damage, and accurate mileage. AI damage appraisal tools are provided as a guide but do not waive your responsibility to be truthful.
  • When an auction concludes, if the reserve price is met, you are entering into a binding agreement to sell the vehicle to the winning Motor Trader.
  • Currently, listing and selling a vehicle as a Private Seller is completely free of charge.

4. Motor Traders (Buyers & T2T Sellers)

If you are registered as a Motor Trader:

  • You must provide valid business registration and identity verification to access the platform. Bauto Limited reserves the right to suspend accounts that fail compliance checks.
  • Bidding is Binding: When you place a bid on a vehicle, you are making a legally binding offer to purchase that vehicle at that price.
  • Success Fees: When you successfully win an auction, you are liable to pay a Success Fee (currently set to £250, subject to change) to Bauto Limited to release the seller's contact details and facilitate the handover.
  • Subscriptions & PayPal Billing: Trader access requires an active monthly subscription, processed securely via PayPal.
    • We do not store your credit card or financial details on our servers.
    • By subscribing, you authorize PayPal to charge your account on a recurring monthly basis.
    • You may cancel your subscription at any time through your PayPal account dashboard. Upon cancellation, your access to trader features will be revoked at the end of your current paid billing cycle.
    • No partial refunds are provided for mid-cycle cancellations.
  • As a T2T seller, you must accurately describe wholesale stock. Misrepresentation may result in account suspension.

5. Vehicle Collection & Payment

Bauto Limited acts solely as a lead-generation and auction platform. We do not hold, process, or guarantee funds for the purchase of any vehicle.

  • The winning Trader is solely responsible for arranging vehicle collection.
  • The Trader must pay the Seller directly (e.g., via secure bank transfer) at the time of handover.
  • Bauto Limited is not liable for any failed bank transfers, unpaid balances, or fraudulent funds exchanged between parties.

6. Prohibited Activities

To protect the integrity of the bAuto platform, users are strictly prohibited from:

  • Shill Bidding: Artificially inflating bids on your own vehicle using secondary accounts or associates.
  • Circumventing the Platform: Contacting users outside of bAuto to complete a sale privately to avoid platform fees. Doing so will result in an immediate and permanent ban.
  • Data Scraping: Using automated scripts, bots, or scrapers to extract pricing data, AI valuations, or user information from the platform.

7. Intellectual Property & Data Privacy

All content, software, AI models, and designs on the bAuto platform are the exclusive property of Bauto Limited. You may not copy, modify, or distribute any part of the platform without explicit written consent.

Your use of the platform is also governed by our Privacy Policy. By using bAuto.im, you consent to the collection and use of your data (including identity verification documents and vehicle photos) as outlined in our Privacy Policy.

8. Liability and Disclaimers

We are not a party to the actual sales contract between buyers and sellers.

  • We do not guarantee the condition of any vehicle listed on the platform.
  • We are not liable for any losses, damages, or disputes arising directly between buyers and sellers.
  • The platform is provided on an "AS-IS" and "AS-AVAILABLE" basis.

9. Governing Law

These Terms shall be governed by and defined following the laws of the Isle of Man. Bauto Limited and yourself irrevocably consent that the courts of the Isle of Man shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

10. Condition Report & Declaration of Truth

When submitting a vehicle appraisal to the platform, sellers are required to check a "Declaration of Truth". By doing so, you acknowledge and agree to the following:

  • Absolute Accuracy: You represent and warrant that all provided information (including mechanical faults, cosmetic damage, service history, and outstanding finance) is exhaustive, factual, and materially accurate to the best of your knowledge.
  • AI Tool Limitations: Our AI appraisal is a supplementary tool intended to assist with visual estimations. It does not absolve you of your fundamental legal responsibility to disclose known defects manually (such as mechanical issues).
  • Consequences of Misrepresentation: If you are found to have willfully or negligently provided false, misleading, or materially incomplete information, the purchasing Motor Trader reserves the absolute right to reject the vehicle upon collection with no penalty, and Bauto Limited reserves the right to suspend or permanently terminate your account.
